Terms of Service

SocialBoostMedia LLC is a Phoenix, Arizona-based paid-advertising agency. We help local businesses run paid campaigns on Meta (Facebook and Instagram), Google, and other platforms, and we build websites and landing pages. References to “we,” “us,” and “our” refer to SocialBoostMedia LLC.

You must be at least 18 years old and able to form a binding contract to use the Site or Services. By using them, you represent and warrant that you meet these requirements.

The Site provides information about our Services and a way to contact us. Any actual engagement to provide Services is governed by a separate written agreement (the “Client Services Agreement”) that describes scope, deliverables, fees, payment terms, and term length.

If there is any conflict between these Terms and a signed Client Services Agreement, the Client Services Agreement controls for matters within its scope.

You agree not to:

• Use the Site or Services for any unlawful, fraudulent, or harmful purpose
• Submit false information through any form or booking on the Site
• Interfere with or disrupt the Site, attempt to gain unauthorized access, or probe for vulnerabilities
• Scrape, copy, or reuse Site content (text, graphics, code) without our written permission
• Use the Services to promote anything prohibited by the advertising platforms we run campaigns on (Meta, Google, etc.)

The Site, including its design, copy, graphics, code, andSocialBoostMedia brand marks, is owned by SocialBoostMedia LLC or our licensors and is protected by intellectual-property law. You may not copy, modify, distribute, or create derivative works from the Site without our written permission.

For client work, ownership of deliverables (ad creative, landing pages, websites, ad accounts) is addressed in the Client Services Agreement. By default, our policy is that the client retains ownership of all ad accounts, creative assets, and final website deliverables upon completion and payment.

Our Services rely on third-party advertising platforms, scheduling tools, hosting providers, and analytics tools (including Meta, Google, Calendly, Vimeo, Vercel, and others). Your use of those platforms is subject to their own terms and privacy policies. We are not responsible for changes to their platforms, outages, account suspensions, ad disapprovals, or policy changes that affect campaign performance.

We work hard to deliver strong results. However, advertising outcomes depend on many factors outside our control, including your offer, pricing, sales process, ad spend, market conditions, seasonality, competition, and platform algorithm changes. Any case studies, testimonials, or example results on the Site reflect specific clients in specific situations and do not guarantee similar results for you. Any performance-based guarantees offered to you will be set out expressly in your Client Services Agreement.

The Site and Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, error-free, or secure.

To the fullest extent permitted by law, SocialBoostMedia LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Site or Services, whether based in contract, tort, statute, or any other legal theory. Our total cumulative liability for any claims arising out of or related to the Site or Services will not exceed the greater of (a) the fees you paid us in the three months preceding the claim, or (b) US $100.

You agree to defend, indemnify, and hold harmless SocialBoostMedia LLC and its owners, officers, employees, and contractors from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Site or Services, (b) your violation of these Terms, (c) your violation of any law or any rights of a third party, or (d) content or materials you provide to us for use in advertising.

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason. Termination of Services under a Client Services Agreement is governed by that agreement. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

These Terms are governed by the laws of the State of Arizona, USA, without regard to its conflict-of-laws rules. Any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction in those courts. Disputes under a Client Services Agreement may be subject to different dispute-resolution terms set out in that agreement.

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
